1. Acceptance of Terms

By utilizing Innorax services, you represent that you are at least 18 years of age and legally competent to enter into binding contracts under applicable Indian laws. If you are accepting these terms on behalf of a company, organization, or corporate entity, you represent and warrant that you have full authorization to bind that entity to these Terms.

2. Services and 48-Hour Delivery

Innorax offers professional custom website design and subscription services. The 48-hour delivery timeline works under these conditions:

• Asset Completion: The 48-hour draft delivery starts only after you complete the onboarding steps and supply all necessary branding details, logos, text assets, and category details.
• Feedback Cycles: Upon receiving the initial draft layout, you must provide revision feedback promptly. Revisions will be scheduled and updated based on your plan level details.
• Service Scope: Any additions or modifications beyond the plan specifications will be subject to separate quotation pricing.

3. Billing, Payments & Subscriptions

For all paid subscriptions, plans, and website packages, you agree to the billing policies stated below:

• Payments: All payments are processed through secure external payment systems (e.g. Razorpay). You agree to pay all applicable subscription fees and taxes.
• Recurring Subscriptions: Hosting and maintenance plans operate on auto-renewing cycles (monthly/yearly). You can cancel renewal anytime from your dashboard.
• Refunds: Refunds are handled under standard platform guidelines. Once custom design work begins or files are published, subscription payments become non-refundable.

4. Intellectual Property Rights

Ownership of design assets and software property is handled as follows:

• Client Assets: You retain full copyright and ownership of all logos, text content, media files, and branding materials you upload to our platform.
• Innorax Platform: We retain all rights, ownership, and copyright for the Innorax brand, dashboard software, component source codes, systems architecture, and design tools.
• Website License: Upon full payment of plan fees, you receive a perpetual, non-exclusive license to use the customized design layout and files on our hosting servers.

5. User Responsibilities & Acceptable Use

You agree that your customized websites will not publish, link to, or promote content that:

• Infringes upon any third-party intellectual property, privacy rights, or trademarks.
• Is illegal, harmful, threatening, abusive, defamatory, vulgar, obscene, or racially offensive.
• Contains software viruses, malware, trojan codes, or malicious scripting systems designed to interrupt server networks.

6. Limitation of Liability

Innorax services are provided on an "as is" and "as available" basis without warranties of any kind. Under no circumstances shall Innorax Technologies, its directors, employees, or developers be liable for direct, indirect, incidental, or consequential damages resulting from website downtime, loss of data, security breaches, or business interruptions.

7. Governing Law & Jurisdiction

These Terms shall be governed by, interpreted, and construed in accordance with the laws of the Republic of India. Any legal actions, conflicts, or disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Chennai, Tamil Nadu, India.
